James advises startup entrepreneurs and venture issuers (including TSX Venture and CNSX issuers), as well as established businesses. His legal practice focuses on the aspects of corporate, commercial and securities law that are critical to emerging and growth companies, including incorporations and reorganizations, employment and consulting contracts, non-disclosure agreements, shareholder agreements, software and IP licensing, purchases and sales of businesses, angel and venture financings, secured lending, and ongoing securities compliance.
In addition, James works closely with GreenSky Capital Inc., a corporate finance advisory firm and exempt market dealer affiliated with OLF, in planning and facilitating private equity and debt financings and exit events for entrepreneurs and companies with high growth potential.
James was called to the bar in 2008, after obtaining his LL.B. from Osgoode Hall Law School and articling with the firm in 2007. Before he joined the firm, James summered at Dale & Lessman LLP and worked as a research assistant to Professor Peer Zumbansen, Canada Research Chair in Transnational Economic Governance and Legal Theory, and his writing has been published in the Comparative Research in Law & Political Economy journal and the CCH Corporate Brief newsletter.
